AGREEMENT BETWEEN CUSTOMER AND EXPEDIA, INC.

Welcome to the Expedia.com/ExpediaBusinessRewards website for Ink℠ from Chase customers. This website is provided solely to assist small and medium sized companies, who are customers of Chase Bank ("Company") in monitoring employee travel activity while earning and managing rewards. The Expedia.com website is provided solely to assist in gathering travel information, determining the availability of travel-related goods and services, making legitimate reservations or otherwise transacting business with travel suppliers, and for no other purposes (collectively, the "Website"). The terms "we", "us", "our" and "Expedia, Inc." refer to Expedia, Inc., a Washington corporation. The term "you" and "your" refers to the employee visiting the Website and/or booking a reservation through us on this Website, or through our customer service agents.

This Website is offered to you conditioned upon your acceptance without modification of all the terms, conditions, and notices set forth below (collectively, the “Agreement“). By accessing or using this Website in any manner, you agree to be bound by the Agreement. To the extent you book any travel products or services on this Website or through our call center agents, you agree that this Agreement shall apply to all such transactions. Please read the Agreement carefully. If you do not accept all of these terms and conditions, please do not use this Website or make bookings through this Website or our call center agents. Be sure to return to this page periodically to review the most current version of the Agreement. We reserve the right at any time, at our sole discretion, to change or otherwise modify the Agreement without prior notice, and your continued access or use of this Website signifies your acceptance of the updated or modified Agreement.

EXPEDIA BUSINESS REWARDS PROGRAM TERMS AND CONDITIONS

The Expedia Business Rewards Program ("Program") for Ink℠ from Chase is offered to legitimate businesses properly registered with the appropriate local authorities and who are customers of Chase Bank, which Expedia may monitor from time to time and is open only to individuals who are eighteen (18) years of age and older, have a valid email address, and have enrolled in the Program through the Company ("Employee(s)"). By participating in the Program, Company can earn nights through Qualifying Travel (as defined in Earning section below ("Nights"), which upon the Nights' balance reaching ten (10), Company may redeem for a one hundred ($100) dollar Expedia coupon ("Coupon"), subject to these terms and conditions and the availability of eligible travel and reward items. Membership in the Program is void if prohibited by law in the country of the Employee's residence. The Program does not apply to bookings of nine (9) or more rooms made through Expedia's Group Travel specialists.

Expedia may modify any of the terms and conditions governing the Program—including, but not limited to, the rules for earning and redeeming Nights, the expiration policy for Nights and Coupons and the products and services on which Coupons may be redeemed—at any time, with or without notice, even though these changes may affect your ability to use any Coupons or benefits you have already earned. The Program has no predetermined termination date and may continue until such time as Expedia decides to terminate the Program. Expedia may terminate the Program at any time. Your continued participation in the Program constitutes your acceptance of any changes to these terms and conditions. You are responsible for remaining knowledgeable as to any changes that Expedia may make to these terms and conditions.

Expedia makes no guarantees, warranties, or representations of any kind concerning the Program. Coupons earning and rewards redemptions are void where prohibited by applicable federal, state, or local laws or regulations and are subject to change as may be necessary to comply with such laws or regulations. You release Expedia and its affiliates and partners from all liability regarding the earning, redemption, and use of Coupons, including any rewards that, after receipt, may be lost, stolen, or destroyed. Expedia suppliers are in no way affiliated with or responsible for the Program administration.

Enrollment

You must first have created an Expedia account prior to registering in order to enroll in the Program. Upon enrollment, you will be issued an Expedia Business Rewards ID number that is linked to your Program account (“Company Business Rewards Account“). To earn Nights, you must be signed in to your Expedia account at time of booking. No Coupons will be earned for bookings made on the Website where you are not signed in to your Expedia account. You must be an enrolled Employee of the Program prior to making a booking in order to earn Nights for any Qualifying Travel. If you enroll in the Program after booking, Nights will not accrue on that booking.

As a component of the Program, your Company may designate one or more corporate travel administer/manager (“Company Administrator(s)”). In such event, upon your permission within the Website, the Company Administrator(s) will be given access to your travel information as part of the Program. Enrolled Company Administrator(s) will receive regular account servicing updates by email. Employee acknowledges the Company Administrator(s)'s use of your travel information as part of this Program is not controlled by Expedia. Company Administrator(s) will be given authority to act on behalf of Company.

You may opt out of participation in the Program from the Website. Company's ability to earn and redeem Nights based on your travel will be suspended after you opt out. If Company opts out of Program participation, you will no longer have access to Company Business Rewards Account and no Nights will accumulate on future bookings, and any accumulated Nights' balance will no longer be available for redemption. Any Coupons in Company's Business Rewards Account at the time of opting out will remain subject to the standard Coupons expiration rules and policies.

Earning

You must be signed in to your Expedia account and Enrolled in the Program prior to completing an eligible booking in order to earn Nights for that booking. Nights will be awarded only to the Company Business Rewards Account. If booking a trip for another individual as a travel arranger using the arranger settings in Company Business Rewards Account, the individual's account you are using to book the travel will earn Nights for the eligible booking only if their Expedia Account is enrolled in the Company's Business Rewards Account. Booked hotel must meet or exceed $50.00 per night to be considered an eligible booking.

After you complete travel Nights at Expedia Rate hotels (as defined in Prepaid Hotels Reservations section below), separately or as part of a travel package (“Qualifying Travel”), the Night(s) will be held in pending status for seventy-two (72) hours after the Qualifying Travel is complete. Pending Nights are not available for redemption usage. Seventy-two (72) hours after completion of Qualifying Travel, Nights will move from pending status to available status. Once in available status in Company's Business Rewards Account, Nights are eligible to be used by the Company Administrator(s) for redemption purposes. Cancellations to the Qualifying Travel will not result in credit toward the Company's Nights' balance. Expedia reserves the right to rescind at any time any pending or available Nights that were earned or awarded for unused travel items. Coupons and Nights will be rescinded in cases where an Employee receives a refund, from either Expedia or a travel supplier or vendor.

Expedia has the right to monitor all Company Business Rewards Account activity. If Company Business Rewards Account shows signs of fraud, abuse, or suspicious activity, Expedia may close or freeze Company's Business Rewards Account immediately, and Company may lose accrued Nights or Coupons. If you have conducted any fraudulent activity, Expedia reserves the right to take any necessary legal action and may have grounds to confiscate any rewards earned as a result of such activity. In addition, you may be liable for monetary losses to Expedia, including litigation costs and damages, and you will not be allowed to participate in the Program in the future. Qualifying Travel discovered to be fraudulent will have their Nights or Coupons rescinded, and the Company's Business Rewards Account associated with such fraudulent bookings will be frozen from further Nights or Coupons earning or redemption activity. To contest freezing of an account or the rescinding of Nights or Coupons, please call Expedia Business Rewards customer support at 1-877-222-6808.

If Expedia suspects abuse or fraud with Company's Business Rewards Account, Expedia in its sole discretion reserves the right to adjust Company's Nights or Coupons' balance. If you believe your Company's Business Rewards Account has been the subject of any suspicious activity, please contact the Expedia Service Center immediately. If it is determined your Company has been the victim of a fraud, the Coupons Company has earned will be transferred to a new Business Rewards account.

Coupons and Nights accumulation, redemption, and expiration status can be accessed on the Website. Coupons and Nights have no cash value. Company has no property rights or other legal interests in Coupons. Company is responsible for any personal tax liability that may be related to participation in the Program.

If you believe your Company did not receive the correct amount of Nights for a booking, you must contact Expedia Business Rewards customer support at 1-877-222-6808 within ninety (90) days from the travel end date. Expedia will make the final determination as to whether Nights' adjustments of any kind are justified for the travel in question. In no event will any Nights manually be moved from pending to available status sooner than seventy two (72) hours after completion of Qualifying Travel.

Expiration

Nights will not expire as long as there is a Qualifying Travel or redemption activity through the Website on Company's Business Rewards Account at least once every eighteen (18) months. "Qualifying Purchase or Redemption Activity" means a rewards-eligible trip or travel item which has been both booked and completed or redemption of Nights for Coupons through Company's Business Rewards Account. All Coupons in Company's Business Rewards Account will expire twelve (12) months from the date of issue.

Redemption

The issued Coupon will be deposited in to the Company's Business Rewards Account, and can be found on the Website. Redeemed Nights will be deducted from Company's Business Rewards Account at the time the Coupon code is issued. No Nights will be deducted from the Company's Business Rewards Account until the Coupon is issued. Company can redeem available Coupons valid at Expedia Rate hotels. A Coupon can only be applied to one (1) hotel room per booking. A Coupon cannot be used for booking multiple rooms on the same itinerary. All redemptions are final and may not be cancelled.

Coupons

Coupons issued by Expedia Business Rewards are single-use and valid for a discount of $100 off a new booking for a room at an Expedia Rate hotel on Expedia.com. Package bookings are not eligible. The qualifying hotel must be booked within 12 months of creation of the coupon for travel within 24 months of creation of the coupon.

Limit one (1) coupon per booking. Coupon is not redeemable for cash. If the full value of the Coupon is not used, the remaining balance will be lost. Coupons may not be combined with or applied to any other certificates, discounts, upgrades, awards, or promotions. All taxes, fees, charges, and surcharges applicable to the booking, including, without limitation, extra person, parking, phone, and other charges that are applicable to the reservation are the responsibility of the traveler, and Coupons cannot be applied to such amounts. These charges must be paid at the time the reservation is confirmed or to the hotel directly, and they are the responsibility solely of the traveler. Coupons cannot be applied to the cost of cancellation or change penalties, prepaid reservations, administrative fees, or other miscellaneous charges. This coupon will be deemed fully used once a qualifying reservation has been made and will not be returned or replaced, even in the event that the reservation is cancelled. Coupons are offered as promotional items and are void if sold for cash or other consideration, or if altered or copied, and cannot be reissued if destroyed, lost or stolen. Coupon cash value 1/100¢. Void where prohibited by law.

USE OF THE WEBSITE

As a condition of your use of this Website, you warrant that (i) you are at least 18 years of age; (ii) you possess the legal authority to create a binding legal obligation; (iii) you will use this Website in accordance with this Agreement; (iv) you will only use this Website to make legitimate reservations for you or for another person for whom you are legally authorized to act; (v) you will inform such other persons about the terms and conditions that apply to the reservations you have made on their behalf, including all rules and restrictions applicable thereto; (vi) all information supplied by you on this Website is true, accurate, current and complete, and (vii) if you have an Expedia.com account, you will safeguard your account information and will supervise and be completely responsible for any use of your account by you and anyone other than you. We retain the right at our sole discretion to deny access to anyone to this Website and the services we offer, at any time and for any reason, including, but not limited to, for violation of this Agreement.

Additionally, Expedia reserves the right to modify, suspend or stop the Website (or any part thereof), either temporarily or permanently, at any time or from time to time, with or without prior notice to you. You acknowledge that Expedia has no express or implied obligation to provide, or continue to provide, the Website, or any part thereof, now or in the future.

While you may make limited copies of your travel itinerary (and related documents) for travel or services booked through this Website, you agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through this Website. Additionally, you agree not to:

  1. use this Website or its contents for any commercial purpose;
  2. make any speculative, false, or fraudulent reservation or any reservation in anticipation of demand;
  3. access, monitor or copy any content or information of this Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
  4. violate the restrictions in any robot exclusion headers on this Website or bypass or circumvent other measures employed to prevent or limit access to this Website;
  5. take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;

SUPPLIER RULES AND RESTRICTIONS

Additional terms and conditions will apply to your reservation and purchase of travel-related goods and services that you select. Please read these additional terms and conditions carefully. You agree to abide by the terms and conditions of purchase imposed by any supplier with whom you elect to deal, including, but not limited to, payment of all amounts when due and compliance with the supplier's rules and restrictions regarding availability and use of fares, products, or services. Some hotel suppliers may require you to present a credit card or cash deposit upon check-in to cover additional expenses incurred during your stay. Such deposit is unrelated to any payment received by Expedia, Inc. for your hotel booking. You acknowledge that some third-party providers offering certain services and/or activities may require you to sign their liability waiver prior to participating in the service and/or activity they offer. You understand that any violation of any such supplier's rules and restrictions may result in cancellation of your reservation(s), in your being denied access to the applicable travel product or services, in your forfeiting any monies paid for such reservation(s), and/or in our debiting your account for any costs we incur as a result of such violation.

PREPAID HOTEL RESERVATIONS

You acknowledge that the Expedia Companies pre-negotiate certain room rates with hotel suppliers to facilitate the booking of reservations on your behalf. The room rate displayed on the Website is a combination of the pre-negotiated room rate for rooms reserved on your behalf by the Expedia Companies and the facilitation fee retained by the Expedia Companies for their services. You authorize the Expedia Companies to book reservations for the total reservation price, which includes the room rate displayed on the Website, plus tax recovery charges, service fees, and where applicable, taxes on the Expedia Companies' services. You agree that your credit card will be charged by the Expedia Companies for the total reservation price. Upon submitting your reservation request you authorize the Expedia Companies to facilitate hotel reservations on your behalf, including making payment arrangements with hotel suppliers.

You acknowledge that except as provided below with respect to tax obligations on the amounts we retain for their services, the Expedia Companies do not collect taxes for remittance to applicable taxing authorities. The tax recovery charges on prepaid hotel transactions are a recovery of the estimated taxes (e.g. sales and use, occupancy, room tax, excise tax, value added tax, etc) that the Expedia Companies pay to the hotel supplier for taxes due on the hotel's rental rate for the room. The hotel suppliers invoice the Expedia Companies for tax amounts. The hotel suppliers are responsible for remitting applicable taxes to the applicable taxing jurisdictions. None of the Expedia Companies act as co-vendors with the supplier with whom we book or reserve our customer's travel arrangements. Taxability and the appropriate tax rate vary greatly by location. The actual tax amounts paid by the Expedia Companies to the hotel suppliers may vary from the tax recovery charge amounts, depending upon the rates, taxability, etc. in effect at the time of the actual use of the hotel by our customers. Service fees retained by the Expedia Companies for their services vary based on the amount and type of hotel reservation.

You may cancel or change your prepaid hotel reservation, but you will be charged the cancellation or change fee indicated in the rules and restrictions for the hotel reservation. If you do not cancel or change your reservation before the cancellation policy period applicable to the hotel you reserved, which varies by hotel (usually 24 to 72 hours) prior to your date of arrival, you will be subject to a charge of applicable nightly rates, tax recovery charges and service fees. In the event you do not show for the first night of the reservation and plan to check-in for subsequent nights in your reservation, you must confirm the reservation changes with us no later than the date of the first night of the reservation to prevent cancellation of your reservation. You must make refund requests for no-shows or early checkouts within 60 days after checkout.

You agree to pay any cancellation or change fees that you incur. In limited cases, some hotels do not permit changes to or cancellations of reservations after they are made, as indicated in the rules and restrictions for the hotel reservation. You agree to abide by the terms and conditions imposed with respect to your prepaid hotel reservations.

Sales and local hotel occupancy taxes are imposed on the amounts that we charge for our services in the states of New York and South Carolina. For hotel stays in New York State, but outside of New York City, tax recovery charges, as described above, are collected to cover the taxes due on the rent received by the hotel for the room and there is no local hotel occupancy tax due on our services. The actual tax amounts on our services may vary depending on the rates in effect at the time of your hotel stay.

PAY NOW OR PAY LATER DETAILS

With certain hotels, you may be presented with the option to pay online now or pay later at the hotel. If you select the “Pay Online Now” option, Expedia will charge the amount to your credit card in US dollars immediately. If you select “Pay Later at the Hotel”, the hotel will charge your credit card in the local currency at the time of your stay. Tax rates and foreign exchange rates could change in the time between booking and stay. Expedia Coupons may only be applied to “Pay Online Now“ bookings.

EXPEDIA UNPUBLISHED RATE RESERVATIONS

When available, Expedia, Inc.'s subsidiary, Hotwire, Inc., may offer additional, discounted hotel booking options on the Website. These hotels, called Expedia Unpublished Rate hotels, are different from other hotels offered on the Website in several important ways. The name and exact address of the hotel are not shown until after payment has been made for the booking. All bookings are final and cannot be changed, refunded, exchanged, cancelled, or transferred to another party. Your credit card will be charged for the amount shown even if you do not use the booking. Room type will be determined by the hotel based on the number of guests provided at time of booking. All reservations are booked for stays in non-smoking rooms (subject to availability). Hotel room assignments are determined at check-in and upgrades are not available. The maximum number of Expedia Unpublished Rate rooms that can be booked at one time is six. All Expedia Unpublished Rate rooms will be booked under the same name, and the guest under whose name the reservation is made must be present at check-in. Expedia Unpublished Rate hotels are not eligible for hotel reward or club programs. Upon check-in, guests must present a valid ID and credit card in their name (the amount of available credit required will vary by hotel). Debit cards may not be accepted.
